Terms of service
1. Scope
These terms govern your use of the bayes.ltd website and any services provided by Bayes Ltd, including:
- AI enablement coaching (1:1 executive, team, and company-wide programmes)
- AI strategy consulting and AI Blueprint engagements
- Fractional CAIO/CTO leadership
- Talks, workshops, and away days
- Written content published on this site and via Substack
2. Acceptance
By using this website or engaging Bayes Ltd for services, you confirm that you have read, understood, and agree to these terms. If you are engaging on behalf of an organisation, you confirm that you have the authority to bind that organisation to these terms.
3. Engagement and payment
Specific scope, timelines, deliverables, and fees are agreed per engagement in a separate statement of work or proposal. Unless otherwise agreed in writing:
- Invoices are payable within 30 days of the invoice date
- All fees are quoted in GBP and exclusive of VAT unless stated otherwise
- Bayes Ltd reserves the right to suspend work if payment is more than 14 days overdue
4. Intellectual property
Bayes Ltd retains all rights to its pre-existing intellectual property, including frameworks, methodologies, tools, and proprietary materials developed independently of any client engagement.
The client retains all rights to their own data, proprietary information, and any bespoke deliverables created specifically for them under a statement of work, subject to payment in full.
Where Bayes Ltd creates materials that incorporate its pre-existing IP, the client receives a non-exclusive licence to use those materials for their internal purposes.
5. Confidentiality
Both parties agree to keep confidential any information marked as confidential or that would reasonably be understood to be confidential. This obligation survives termination of the engagement for a period of two years.
Confidentiality does not apply to information that is already publicly available, independently developed, received from a third party without restriction, or required to be disclosed by law.
6. Limitation of liability
To the maximum extent permitted by law:
- Bayes Ltd's total liability under or in connection with any engagement shall not exceed the total fees paid by the client for that engagement
- Bayes Ltd shall not be liable for any indirect, consequential, or incidental losses, including lost profits, lost data, or business interruption
Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law.
7. Disclaimers
Bayes Ltd provides advisory and enablement services. Our services do not constitute legal, financial, medical, or regulatory advice. Clients are responsible for seeking independent professional advice where appropriate.

8. Termination
Either party may terminate an engagement by giving 14 days' written notice, unless a different notice period is specified in the statement of work.
If a client terminates an engagement, fees for work completed up to the date of termination remain payable.
Bayes Ltd may terminate immediately if the client is in material breach of these terms and fails to remedy the breach within 7 days of written notice.
9. Governing law and jurisdiction
These terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute arising from or in connection with these terms.
